Terms of Service

1. The Service

Restockall provides a hosted, brand-owned B2B wholesale ordering platform that lets brands manage catalogs, wholesale accounts, pricing, and orders, and lets their invited stockists place orders. We may update, add, or remove features over time.

2. Accounts & eligibility

You must provide accurate account information and are responsible for all activity under your account and for keeping your credentials secure. You must be at least 18 and able to form a binding contract. You are responsible for your invited users (e.g. stockists) and their use of the Service.

3. Subscriptions, trials & billing

• Paid plans are billed in advance on a recurring (monthly or annual) basis through our payment processor, Stripe.
• Free trials, if offered, convert to a paid subscription at the end of the trial unless you cancel beforehand.
• You can cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable and partial periods are not prorated.
• We may change pricing with reasonable prior notice; changes apply to subsequent billing periods.

4. Acceptable use

You agree not to:

• use the Service unlawfully or to infringe others' rights;
• upload malware or attempt to disrupt or gain unauthorized access to the Service;
• resell or provide the Service to third parties except as intended (inviting your own stockists);
• misuse the Service to send unsolicited communications.

5. Your data & content

You retain all rights to the data and content you submit ("Customer Data"), including your catalog, accounts, and orders. You grant us a limited license to host, process, and display Customer Data solely to provide the Service. You are responsible for having the necessary rights and lawful basis for the Customer Data you provide, including any personal data of your stockists. Our handling of personal data is described in our Privacy Policy.

6. Intellectual property

The Service, including its software, design, and trademarks, is owned by Restockall and its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service.

7. Third-party services

The Service relies on third-party providers (including Stripe for payments, Clerk for authentication, and email/hosting providers). Your use of those features may be subject to their terms, and we are not responsible for third-party services.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, Restockall will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the event giving rise to the claim.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service. Upon termination, your right to use the Service ends; we may delete Customer Data after a reasonable period, subject to the Privacy Policy.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (e.g. by email or in-app). Your continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of [Governing Jurisdiction], without regard to conflict-of-laws rules. The courts located in that jurisdiction will have exclusive jurisdiction over disputes, except where prohibited by law.
